RGD extends deadline for filing of annual returns and renewals
The Registrar-General’s Department (RGD) has extended the deadlines for the filing of annual returns for companies limited by shares, companies limited by guarantee, external companies, and also for the renewals of partnership. The dates have been extended from 30th April, 2020 to 30th June, 2020.
According to a letter from the regulatory body, dated 31st March, 2020, this has become necessary in the wake of the coronavirus pandemic and the partial lockdown declared by the President.
As required by the Companies Act of Ghana, 2019, (Act 992), Section 126 (1 & 2), “… a Company shall at least once in every year deliver to the Registrar for registration an Annual Return including particulars of every member of the Company and every beneficial owner of that Company in the form and relating to matters prescribed in the Fifth Schedule”. Companies that fail to comply will pay a penalty of GHS450 in addition to the standard filing fees.
However, this new deadline does not affect sole-proprietorship businesses, as they are required to renew once every year and that can be done at any time within the year. For sole proprietors who have not renewed their business names in the past year(s), they will be required to pay the standard charges for all those years in addition to the current year. Failure to do so gives RGD the power to take off your business name from their database, making it available for others to register it.
